These Terms of Service (“Terms”) govern your access to and use of the website at inspiresolutions.asia and the warehousing, fulfillment, and technology services provided by Inspire E-Commerce Solutions Inc. (“Inspire”, “we”, “us”). By using this website or engaging our services, you agree to these Terms. If you do not agree, please do not use the website or our services.

1. About these Terms

These Terms apply to all visitors of this website and to clients who engage Inspire. Where you enter into a separate written service agreement, statement of work, or quotation with us, that signed agreement governs the specific services and prevails over these Terms to the extent of any conflict. These Terms otherwise continue to apply.

2. Our services

Inspire provides third-party logistics services, including warehousing, order fulfillment, pick-and-pack, dispatch coordination, returns handling, and related operations, supported by our proprietary platform, Fusion. The scope, pricing, and service levels that apply to you are defined in your individual quotation or service agreement, not on this website. Information on this website is provided for general guidance and may be updated at any time.

3. Eligibility and accounts

Our services are intended for businesses. If you are given access to Fusion or any client portal, you are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without authorization.

4. Your responsibilities

• Provide accurate, complete, and up-to-date information about your products, orders, and operations.
• Ensure the goods you send us are lawful to store, handle, and ship, and are accompanied by any required documentation.
• Use the website, Fusion, and our services only for lawful purposes, and not to infringe the rights of others, transmit malicious code, or attempt to disrupt or gain unauthorized access to our systems.
• Comply with applicable laws, marketplace rules, and carrier requirements that relate to your products and orders.

5. Fees, quotations, and payment

Fees for our services are set out in the quotation or service agreement provided to you. Unless stated otherwise in that document, fees are exclusive of applicable taxes. Pricing and platform terms referenced on this website are indicative and subject to a formal quotation. Payment terms, including any platform or storage charges, are governed by your agreement with us.

6. Fusion and intellectual property

Fusion, this website, and all related software, designs, text, graphics, logos, and other materials are owned by Inspire or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use Fusion and any portal access solely in connection with the services we provide to you, for the duration of our engagement. You may not copy, modify, reverse-engineer, resell, or sublicense Fusion or any part of our materials without our prior written consent. “Inspire”, “Fusion”, and “TrueTrace” are marks of Inspire.

7. Your content and data

You retain ownership of the data and content you provide to us (such as product details, order information, and brand assets). You grant us the rights necessary to use that data to provide, operate, and improve our services. Our handling of personal information is described in our Privacy Policy and is carried out in accordance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173).

8. Confidentiality

Each party may receive confidential information from the other in the course of our engagement. Both parties agree to protect such information, to use it only for the purposes of the engagement, and not to disclose it to third parties except as reasonably required to deliver the services or as required by law.

9. Service availability and disclaimers

We work hard to operate reliably, but this website and Fusion are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we do not make warranties of any kind, whether express or implied, regarding the website or the uninterrupted or error-free availability of any system. Specific service commitments, where they apply, are set out in your service agreement, not on this website.

10. Limitation of liability

To the fullest extent permitted by law, Inspire will not be liable for indirect, incidental, special, or consequential losses, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of this website. Liability arising from the services we provide is governed by, and limited as set out in, your service agreement with us. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold Inspire harmless from claims, damages, and reasonable expenses arising from your breach of these Terms, your violation of any law, or the products and content you provide to us, except to the extent caused by our own negligence or wilful misconduct.

12. Suspension and termination

We may suspend or restrict access to the website or Fusion if we reasonably believe it is necessary to protect our systems, our clients, or to comply with law. Termination of services is governed by your service agreement. Provisions that by their nature should survive termination, including intellectual property, confidentiality, and limitation of liability, will continue to apply.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. The courts of the Philippines will have jurisdiction over any dispute arising from these Terms or your use of this website, subject to any dispute-resolution mechanism agreed in your service agreement.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the website after changes take effect constitutes acceptance of the updated Terms.
